Arsari Group, a business group owned by Hashim Djojohadikusumo, through its business entity PT Nusantara Fiber Teknologi (NFT), has officially completed the acquisition of a majority stake in PT Infra Fiber Teknologi (IFT) from PT Indosat Tbk (ISAT). The massive transaction, valued at IDR 11.71 trillion, marks one of the most significant corporate actions in the national telecommunications infrastructure sector this year.
According to an information disclosure on the Indonesia Stock Exchange, the acquisition involves the sale of an 84.9 percent stake in IFT to NFT. Meanwhile, the remaining 15.1 percent stake was transferred through an in-kind contribution (inbreng) mechanism. This scheme positions NFT as the new controlling shareholder that will manage IFT's fiber optic network assets moving forward.
For Indosat, this divestment is part of the company's long-term strategy to optimize assets while strengthening its capital structure. Despite relinquishing control of IFT, Indosat maintains its strategic position in the digital infrastructure business. Through a 49.68 percent stake in NFT, the company is assured to continue enjoying economic benefits from the future growth of the fiber optic industry.
This corporate move not only reinforces asset consolidation in the telecommunications market but also provides flexibility for both parties to focus on their core business development. With capital support from Arsari Group, the expansion of the fiber optic network is expected to become even more massive, ultimately bolstering the overall national digital ecosystem.
