A major consolidation in the State-Owned Enterprises (SOE) logistics sector has officially kicked off. PT Krakatau Jasa Logistik (KJL), a subsidiary of PT Krakatau Bandar Samudera (KBS), has merged along with six other state-owned logistics companies into PT Multi Terminal Indonesia (MTI) as the surviving entity. This strategic move was officially marked by the signing of the Shareholders Agreement and the Deed of Merger, effective from early July 2026.
In the merger process valued at IDR 233.48 billion, PT KBS did not receive cash compensation. Instead of cash, the value of the affiliated transaction was converted into approximately 9 percent share ownership in the merged entity, PT MTI. Meanwhile, the majority shareholder position of PT MTI is now held by Pelindo Sinergi Lokaseva with an ownership share ranging from 73 to 74 percent.
Assistant Director of Commercial and Business Development of PT KBS, Hanif Wijaya, explained that this corporate action is part of fulfilling the government's mandate in the establishment of PT Danantara Aset Management (DAM). The integration of the logistics sector has also been set as one of the priority programs in the 2026 Company Work Plan and Budget (RKAP) to create national supply chain efficiencies.
The merger is believed to streamline the organizational structure, making it more efficient and competitive in the market. Prior to the merger, PT KJL recorded annual revenues ranging from IDR 600 billion to IDR 650 billion. With the new synergy under the umbrella of PT MTI, PT KBS is optimistic that revenues from this business portfolio have the potential to double as the market network expands nationwide.
Although all assets and financial reports of PT KJL have now been fully transferred to PT MTI, management ensures that this transition will not disrupt ongoing operations or business relationships. All existing cooperation contracts will continue and be aligned with the new structure. Furthermore, the merger process is guaranteed to have no negative impact on employment status or internal labor regulations of the company.
